Terms of use

These general terms of use (hereinafter the "Terms of Use") govern access to and use of the managed music broadcasting service published by the company HORRA. They are entered into between HORRA and any natural or legal person who accesses the service or uses its features.

HORRA is a simplified joint-stock company (SAS) with a share capital of 950 euros, registered with the Paris Trade and Companies Register under number 903 545 358, with its registered office located at 135 avenue Victor Hugo, 75016 Paris, France (SIRET 903 545 358 00025, intra-Community VAT FR89903545358, APE code 63.12Z). The showcase website is accessible at https://horra.music and the application at https://app.horra.music. Any question relating to these Terms of Use may be sent to hello@horra.fr.

Accessing and using the service imply full and complete acceptance of these Terms of Use. By creating an account or subscribing to a plan, the User acknowledges having read these Terms of Use and accepts them without reservation.

1. Purpose

The purpose of these Terms of Use is to define the conditions under which HORRA makes available its managed music broadcasting service (sound ambiance, audio messages and jingles) intended for professional venues, as well as the rights and obligations of the parties. The service is intended for a professional clientele (restaurants, hotels, shops, spas, gyms and other establishments open to the public).

2. Definitions

In these Terms of Use, the terms below, when capitalized, have the following meaning:

  • Service: all the managed music broadcasting and audio management features offered by HORRA via the application app.horra.music and the associated applications (mobile, player).
  • User: any natural person who accesses and uses the Service, regardless of their role.
  • Client: the legal entity or sole trader who subscribes to the Service, holds the Super Admin role and is the holder of the contractual relationship with HORRA.
  • Account: the secure personal space, created upon registration, allowing the User to access the Service and manage their settings.
  • Establishment: a physical venue of the Client (for example a restaurant, a hotel or a shop) attached to a Brand.
  • Zone: a broadcasting space within an Establishment. Subscription to the Service is taken out per Zone.

The hierarchy of the Service is organized as follows: Client (Super Admin) > Brand > Establishment > Zone.

3. Access to the service and account creation

The Service is offered in self-service mode: the Client creates their Account directly from app.horra.music, adds their Establishments and Zones, then chooses a plan for each Zone. No free trial period is offered.

The User undertakes to provide accurate, complete and up-to-date information when creating their Account, and to keep it up to date. HORRA cannot be held liable for the consequences resulting from erroneous or incomplete information.

The User is solely responsible for the confidentiality of their login credentials and for any activity carried out from their Account. They undertake to inform HORRA without delay of any unauthorized use of their Account or any breach of the security of their credentials. HORRA provides security measures, including optional two-factor authentication (2FA), which it is recommended to enable.

4. Roles and management of collaborators

The Service is based on role-based management:

  • Super Admin: multi-site management, full control of the Client's Account.
  • Admin: management limited to one Zone.
  • Employee: viewing of the scheduling calendar and issuing of jingle requests.
  • Player: player ensuring scheduled broadcasting.

The Client may invite collaborators by entering their name and email address, and by assigning them a role. The Client is solely responsible for the persons they invite, for the access they grant them and for the use they make of the Service. It is the Client's responsibility to withdraw without delay the access of collaborators who should no longer use the Service and to ensure that these persons comply with these Terms of Use.

5. Description of the service

The Service enables managed music broadcasting within the Client's Zones, as well as the broadcasting of audio messages and jingles. The Client can schedule their broadcasting by Zone and by time slot, choose their content and request jingles or voice messages.

HORRA also offers human support regarding licensing and compliance (in particular the procedures relating to SACEM and SPRE). This support is provided by HORRA's teams and in no way constitutes an automated feature "managed inside the product". It is the Client's responsibility to ensure their own compliance with the obligations incumbent upon them as the operator of a broadcasting venue.

6. Plans, subscription and payment

The Service is offered in self-service according to two plans, Classic and Premium, subscribed to monthly or annually. The annual plan is billed in a single payment for the year. An Enterprise / On Demand offer is available on quotation, outside the self-service journey. Billing is carried out per Zone, in euros (EUR), and is grouped per Client in consolidated billing. The prices in force appear on the /en#pricing page. Applicable VAT is added in accordance with the regulations in force.

Payment is processed by our provider Stripe, by bank card or by SEPA direct debit. Subscriptions are automatically renewed at each due date (monthly or annually). In the event of a payment failure, new attempts are made and the User is informed by email.

Cancellation takes effect at the end of the period already paid, without automatic pro-rata refund. Pausing and then resuming a subscription is possible. Any potential refund is at the sole discretion of HORRA. A change of plan takes effect at the following billing period.

7. Obligations and prohibited uses

The User undertakes to use the Service in accordance with its purpose, these Terms of Use and the applicable regulations. In particular, they shall refrain from:

  • diverting the Service from its purpose or undermining its integrity or security;
  • carrying out any unauthorized extraction, harvesting, scraping or reproduction of the content, catalog or data of the Service;
  • attempting to access parts of the Service or Accounts to which they are not authorized;
  • making their credentials available to third parties or sharing their access outside the roles provided for;
  • using the Service for unlawful purposes or in a manner that infringes the rights of third parties;
  • disrupting the operation of the Service or hindering the work of the support teams.

8. Availability and maintenance

HORRA endeavors to ensure the accessibility of the Service 24 hours a day and 7 days a week, subject to maintenance operations and cases of force majeure. HORRA may temporarily interrupt access to the Service for reasons of maintenance, updates or security, while endeavoring to limit the inconvenience caused. HORRA does not guarantee uninterrupted availability of the Service and cannot be held liable for interruptions beyond its control, in particular those related to the internet network, the Client's equipment or third-party providers.

9. Intellectual property

The Service, its structure, its interfaces, its content, the HORRA brand as well as the music catalog made available are protected by intellectual property law and remain the exclusive property of HORRA or its rights holders. HORRA grants the Client, for the duration of their subscription, a personal, non-exclusive and non-transferable right to use the Service and its content, strictly within the framework of these Terms of Use and the purpose of the Service.

No provision of these Terms of Use may be interpreted as an assignment of intellectual property rights for the benefit of the Client. The Client shall refrain from any reproduction, representation, adaptation or exploitation of the content outside the use authorized by the Service.

10. Personal data

HORRA processes personal data in the context of providing the Service. The conditions of this processing, the purposes, the recipients, the retention periods and the rights of the data subjects are detailed in the privacy policy, which the User is invited to consult.

11. Liability

HORRA undertakes to provide the Service with diligence and in accordance with professional standards. Its liability may only be engaged in the event of direct and proven damage resulting from a breach of its obligations. In particular, indirect damages are excluded, such as loss of operations, loss of turnover or damage to image.

Within the limits permitted by law, HORRA's liability is limited to the amount of the sums actually paid by the Client in respect of their subscription during the twelve (12) months preceding the triggering event, except in the case of gross negligence, willful misconduct or bodily injury, which cannot be limited by law. The Client remains responsible for their own regulatory compliance, in particular regarding music broadcasting within their Establishments.

12. Suspension and termination for breach

In the event of a breach by the Client or a User of these Terms of Use, in particular in the event of prohibited use, non-payment or breach of the security of the Service, HORRA may, after notification where possible, suspend access to the Service or terminate the Account concerned. In the event of a serious breach, suspension may occur without notice in order to preserve the security and integrity of the Service. Termination for breach does not give rise to any refund of the sums already paid.

13. Amendment of the Terms of Use

HORRA reserves the right to amend these Terms of Use at any time, in particular to take account of legal, technical or Service developments. Users are informed of significant changes by an appropriate means. Continued use of the Service after the entry into force of the amended Terms of Use constitutes acceptance thereof.

14. Governing law and jurisdiction

These Terms of Use are governed by French law. Failing an amicable resolution, the Service being intended exclusively for professionals, any dispute relating to their validity, interpretation or performance falls within the exclusive jurisdiction of the courts of the district of HORRA's registered office (Paris). This English text is a translation provided for convenience; in case of any discrepancy, the French version prevails.
